## The IPO at a glance

Mynt, the company behind GCash, is selling shares at ₱6.60 each in what could be the largest IPO in Philippine history.

## How to subscribe

Retail investors can subscribe through GStocks inside the GCash app, or through PSE EASy if they qualify as local small investors.

### Through GStocks in the GCash app

GStocks is the stock trading feature inside GCash, run with its broker partner AB Capital Securities.

1. Open the GCash app and find GStocks.
2. Open a GStocks account and finish the verification. Do this before October 6, because approval can take time.
3. When the offer opens, choose the GCash IPO, enter how many shares you want, and pay from your GCash wallet.
4. Watch for your allocation notice after the offer closes.

OFWs can use GStocks from abroad, but a Philippine mobile number is required to open the account.

### Through PSE EASy

PSE EASy is the Philippine Stock Exchange's system for local small investors to subscribe to IPOs. You need an account with a PSE-accredited broker that supports it. Your broker shows the steps, minimum, and payment deadline when the offer opens.

### How much you need

Check the minimum subscription in GStocks or PSE EASy when the offer opens, and only commit what you can leave invested for years.

If the IPO is oversubscribed, you may get fewer shares than you asked for. Any unallocated amount is refunded.

## What you are actually buying

Most of the shares being sold come from existing shareholders, not new shares that raise money for GCash.

Of the base offer of up to 8.03 billion shares, about 1.61 billion are new and about 6.42 billion are being sold by current owners. That means roughly 80% of the money goes to investors cashing out part of their stakes, not to GCash's business.

That is common in large IPOs and is not a red flag by itself. It does mean you are buying from people who are selling.

On the other side, more than 20 institutions committed about ₱36.5 billion as cornerstone investors before the price was set, including funds managed by BlackRock, Capital Research and Management, T. Rowe Price, and the World Bank Group's International Finance Corporation.

## The risks

An IPO price is not a guaranteed floor, and new listings can fall as easily as they rise.

- **The listing price can drop.** Shares trade freely from October 20. If demand fades, the price can fall below ₱6.60.
- **No track record as a listed company.** There is no history of share prices or public dividends yet.
- **Competition and regulation.** Fintech is crowded, and rules from the Bangko Sentral ng Pilipinas can change what GCash earns.
- **A rough market.** The PSE index slid to its lowest level in 11 months in early October, as high oil prices, inflation, and a weak peso weighed on investors.

## Should you buy?

Buy only with money you can leave for years, after your emergency fund is complete, and only as a small part of what you invest.

It can make sense if:

- Your emergency fund already covers three to six months of expenses
- You want long-term exposure to Philippine digital finance
- You are fine holding through a drop without selling

Skip it, or keep it small, if:

- You are hoping for a quick first-day gain to pay for something
- The money is part of your emergency fund or needed within a few years
- It would be most of your investments
